Terms of Service

Effective Date: January 1st, 2026

These Terms of Service ("Terms") govern your access to and use of ToolLine, including our website and any services provided by ToolLine. By accessing or using ToolLine, you agree to these Terms.

Services Provided

ToolLine provides installation, configuration, and ongoing maintenance of AI and automation systems designed to help businesses manage inbound communications and appointment workflows. Our services may include:

  • Installation and setup of AI-assisted voice agents that answer inbound calls, respond to common questions, and assist with appointment scheduling
  • Installation and configuration of missed-call follow-up automations
  • Setup of appointment confirmation and reminder automations
  • Configuration of notification workflows to alert business owners of call and booking activity
  • Ongoing system maintenance, optimization, and support

ToolLine does not act as a telecommunications provider and does not independently originate calls or messages. All voice and messaging functionality is configured to operate on behalf of the client, using client-approved phone numbers, messaging consent, and business information. Services are provided on an "as available" basis and may be updated or modified over time.

ToolLine does not provide legal, financial, medical, or professional advice. Any information communicated by ToolLine systems is intended solely for general service, scheduling, and customer communication purposes and should not be relied upon as professional guidance.

Fees, Usage Costs & Third-Party Charges

ToolLine provides automation and system management services. Certain features rely on third-party platforms including telephony, SMS messaging, AI processing, and scheduling services.

Client Responsibility for Usage Fees

Clients are solely responsible for all usage-based fees incurred through third-party services, including but not limited to:

  • SMS and MMS message charges
  • Voice call minutes
  • AI processing or usage fees
  • Carrier or platform surcharges

These fees are billed directly by the applicable third-party provider or passed through to the client as applicable. ToolLine does not control third-party pricing and is not responsible for changes, overages, or rate adjustments imposed by external providers.

Billing & Payment Terms

Service fees for ToolLine are billed separately from any third-party usage fees. Failure to maintain active payment methods with required third-party providers may result in service interruptions, delays, or suspension. ToolLine is not responsible for service issues caused by insufficient balances, suspended accounts, or billing failures with third-party services.

Usage-based fees incurred through third-party services are non-refundable, even if services are interrupted, misused, or terminated.

SMS Messaging Terms & A2P Compliance

  1. Program Description This messaging program sends appointment confirmation and reminder messages to customers who have booked an appointment with ToolLine through our website at https://toolline.ai, or via our scheduling forms, and have explicitly opted in to receive SMS notifications. Messages include scheduling confirmations, appointment reminders, rescheduling updates, and customer support communications.
  2. Cancellation Instructions You can cancel the SMS service at any time. Simply text "STOP" to the same number that sent you messages. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially.
  3. Support Information If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to or call (646) 566-7442 during business hours.
  4. Carrier Liability Carriers are not liable for delayed or undelivered messages.
  5. Message & Data Rates Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies based on your service usage and appointment schedule. For questions about your text plan or data plan, contact your wireless provider.
  6. Supported Carriers Our SMS program works with all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, Sprint, and most regional carriers.
  7. Age Restriction You must be 18 years or older to participate in our SMS program.
  8. Privacy Policy For privacy-related inquiries, please refer to our Privacy Policy.

We comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines, regarding the use of SMS communications.

User Responsibilities

You agree to provide accurate and current information, use ToolLine only for lawful purposes, and comply with all applicable laws including telecommunications and messaging regulations. You may not use ToolLine to send unlawful, deceptive, abusive, or unsolicited communications.

Client Content & Configuration Responsibility

Clients are solely responsible for the accuracy, legality, and completeness of all information, instructions, configurations, and content provided for use with ToolLine — including business details, hours, pricing, service descriptions, and call-handling rules. ToolLine is not responsible for errors, misunderstandings, missed opportunities, or outcomes resulting from inaccurate or outdated client-provided information.

Service Reliability & Issue Resolution

While we strive to provide reliable services, ToolLine is provided on a commercially reasonable efforts basis. If a service disruption, error, or malfunction occurs that is within our control, ToolLine will make reasonable efforts to identify and correct the issue within a reasonable timeframe. We do not guarantee uninterrupted or error-free operation, but we are committed to maintaining service reliability and addressing issues in good faith.

Limitations of Liability

To the maximum extent permitted by law:

  • ToolLine is not liable for indirect, incidental, or consequential damages
  • We are not responsible for lost revenue, missed opportunities, or business outcomes resulting from service use
  • ToolLine does not guarantee specific business results
Your use of ToolLine is at your own discretion and risk.

Indemnification

You agree to indemnify and hold harmless ToolLine from claims, damages, losses, or liabilities arising from your misuse of the services, violation of applicable laws, or use of ToolLine to transmit unlawful or unauthorized communications.

Third-Party Services

ToolLine relies on third-party providers for telephony, messaging, scheduling, and infrastructure services. We are not responsible for outages or issues caused by third-party platforms beyond our control.

Suspension or Termination

We reserve the right to suspend or terminate access to ToolLine if these Terms are violated, the service is used in a way that violates laws or carrier policies, or continued use poses legal or operational risk.

Intellectual Property

All ToolLine content, branding, and systems are owned by ToolLine and may not be copied, modified, or redistributed without permission.

Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with an updated effective date. Continued use of ToolLine after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the state in which ToolLine operates. Any dispute arising under these Terms shall be resolved exclusively through binding arbitration in that jurisdiction.
